07

Digital Products

Digital products may include dashboards, financial models, templates, spreadsheets, reports, analytical tools, presentations, files, or other downloadable materials.

A purchase grants the customer a limited right to use the digital product for the customer's own personal or internal business purposes.

Unless ADVACT provides written permission, the customer may not:

  • Resell the digital product.

The customer may use the purchased material internally for normal business purposes.

Use on behalf of multiple unrelated companies, resale to customers, redistribution, commercial licensing, or incorporation into another product offered for sale requires written authorization from ADVACT.

Intellectual Property

All intellectual property rights associated with the ADVACT website, brand, digital products, tools, dashboards, methodologies, templates, reports, models, website content, graphics, designs, and materials remain the property of ADVACT or the applicable rights holder.

These rights may include:

  • Copyright
  • Trademark rights
  • Database rights
  • Proprietary methodologies
  • Confidential know-how
  • Business models
  • Templates
  • Analytical frameworks
  • Software and digital tools

Nothing in these Terms transfers ownership of such intellectual property to the customer unless expressly agreed in writing.

10

Customized Deliverables

Where ADVACT prepares a customized report, valuation, analysis, model, or other deliverable for a specific customer, the customer may use that deliverable for the purpose for which it was commissioned.

Unless otherwise agreed in writing, ADVACT retains ownership of its:

  • Underlying methodologies.
  • Templates.
  • Analytical frameworks.
  • Calculation structures.
  • Models.
  • General know-how.
  • Pre-existing intellectual property.

Customer confidential information remains subject to applicable confidentiality obligations.

11

Prices and Payment

Prices may be displayed in one or more currencies.

The final amount payable will be shown during the purchase process, quotation process, or engagement confirmation.

The customer is responsible for reviewing the total price before completing payment.

Prices may be changed at any time for future purchases.

A price change will not normally affect an order that has already been accepted and paid, unless the original price resulted from an obvious technical or pricing error.

12

Currency Conversion

Where prices are displayed or paid in different currencies, exchange rates may be applied by:

  • Payment providers.
  • Card issuers.
  • Banks.
  • Payment gateways.
  • Financial institutions.

ADVACT is not responsible for exchange-rate differences, foreign transaction fees, bank charges, or currency conversion fees imposed by third parties.

13

Taxes

Prices may be subject to applicable taxes, duties, or government charges depending on the transaction, jurisdiction, customer location, and applicable law.

Where legally required, applicable taxes may be added to the purchase price.

Customers are responsible for any tax obligations that apply to them unless otherwise required by law.

14

Payment Authorization

By submitting payment information, you confirm that:

  • You are authorized to use the selected payment method.
  • The payment information provided is accurate.
  • You authorize the applicable payment provider to process the transaction.

ADVACT may delay or reject an order where payment verification fails or where fraud or unauthorized activity is suspected.

15

Refunds and Cancellations

Refunds and cancellations are governed by the ADVACT Refund & Cancellation Policy.

Because ADVACT provides both downloadable digital products and customized professional services, refund eligibility may depend on:

  • The type of product or service.
  • Whether a digital product has been accessed or downloaded.
  • Whether professional work has started.
  • The amount of work already completed.
  • Whether the final deliverable has already been provided.

Customers should review the Refund & Cancellation Policy before purchasing.

Unless specifically agreed otherwise, ADVACT does not independently audit or verify all information supplied by the customer.

The quality and reliability of any analysis may therefore depend on the quality, completeness, and accuracy of the information provided.

18

No Guarantee of Business Results

ADVACT provides professional analysis, advice, tools, information, and decision-support services.

Actual results may differ materially.

19

Valuation Services

Business valuations may depend on financial information, assumptions, market conditions, methodologies, forecasts, industry data, customer information, and professional judgment.

A valuation represents an opinion or estimate based on the agreed methodology and available information.

It should not automatically be interpreted as:

  • A guaranteed sale price.
  • A guaranteed investment value.
  • A guaranteed market transaction price.
  • An offer to buy or sell.
  • Investment advice.
  • A guarantee of future company performance.
20

Due Diligence Services

Due diligence services are performed within the agreed scope.

ADVACT is not responsible for information that:

  • Was concealed.
  • Was unavailable.
  • Was inaccurate.
  • Was outside the agreed scope.
  • Could not reasonably have been identified from the information provided.

Customers remain responsible for making their own final commercial, financial, investment, or legal decisions.

It should not automatically be treated as:

  • Legal advice.
  • Tax advice.
  • Investment advice.
  • Audit assurance.
  • Regulatory approval.
  • Investment solicitation.

Where appropriate, customers should obtain advice from qualified legal, tax, accounting, investment, or regulatory professionals.

While reasonable efforts may be made to use reliable sources, ADVACT does not guarantee that all third-party information is complete, current, or error-free.

23

To the maximum extent permitted by applicable law, ADVACT will not be liable for indirect, incidental, special, consequential, or purely economic losses arising from the use of the website, products, or services.

This may include losses relating to:

  • Loss of business.
  • Loss of expected savings.
  • Loss of data.
  • Business interruption.
  • Decisions made based on forecasts or estimates.

Nothing in these Terms excludes liability that cannot legally be excluded under applicable law.

31

Changes to Products or Services

ADVACT may improve, modify, replace, or discontinue features, products, tools, dashboards, or services.

Changes will generally apply prospectively and will not remove rights already granted to customers in relation to completed purchases unless required for legal, security, or technical reasons.

32

Changes to These Terms

ADVACT may update these Terms & Conditions from time to time.

The latest version will be published on the website with an updated effective date.

Continued use of the website after changes become effective may constitute acceptance of the revised Terms where permitted by applicable law.

Any dispute should first be raised with ADVACT so that both parties may attempt to resolve the matter in good faith.

Where a dispute cannot be resolved amicably, it may be referred to the competent courts in accordance with applicable law.

34

Severability

If any part of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions will continue to remain valid and enforceable to the maximum extent permitted by law.
